Abstract: A remoção dos lucros ilícitos contratuais entronca no brocardo de que ninguém deve poder lucrar com o seu próprio ilícito. Este será o mote do nosso estudo e que, neste contexto, vem vivificá-lo. São várias as matérias do Direito jurídico-privado que passamos em revista: começamos pelo modelo norte-americano da análise económica do Direito (AED), onde aludimos à famigerada teoria do efficient breach of contract. Seguimos o nosso texto com o estudo de duas ordens jurídicas: a inglesa e a norte-americana e perscrutamos diretamente as suas respostas para o problema decidendi, nomeadamente a questão polémica do disgorgement dos lucros. Curiosamente, enquanto no ordenamento jurídico inglês, tem-se vindo a sedimentar o disgorgement do ponto de vista da responsabilidade civil contratual, já no ordenamento norte-americano, o disgorgement, ainda que coligado ao contrato, assume preponderância no seio do enriquecimento injusto. Neste âmbito, rumamos inevitavelmente para o ordenamento jurídico português, onde desvelamos um possível instituto que encabeça similarmente o mesmo entendimento – o commodum ex negotiatione. Este detém a sua origem numa construção doutrinária alemã, consistindo num subtipo direto do instituto do commodum de representação, postulado no nosso ordenamento jurídico nos arts 794º e 803º do Código Civil. Terminamos com a junção entre estes dois possíveis instrumentos do Direito jurídico-privado que se encaminham, ainda que distanciados pelas suas respetivas idiossincrasias, pela mesma função.
The disgorgement of the contractual illicit profits meets with the saying that no one should profit from their own illicit. This will be our study’s motto and so, in this context, comes to vivify him. There are many subjects of the private juridical law that we, in this study, pass on: we start with the model of the economic analysis of law (EAL), where we mention the known theory of efficient breach of contract. We follow with the analysis of two juridical orders: the english and the north american, and we look directly into their answers to this problem, namely the polemic question of the disgorgement of profits. Curiously, while in the english juridical order, has been coming to sediment the disgorgement from the point of view of contractual liability, in the north american juridical order, the disgorgement, although still connected to the contract, assumes preponderance in the unjust enrichment law. In this scope, we sail, inevitably, to the portuguese juridical order, where we unveil a possible institute that steers similarly the same understanding – the commodum ex negotiatione. He holds his origin on a german doctrinal construction, consisting in a direct subtype of the institute of the commodum of representation, postulated in our juridical order in the articles 794º and 803º of the Civil Code. We finish with the junction of this to possible instruments of the private juridical law that follow, although drifted away by their respective idiosyncrasies, the same function.
