Resumo: The present study concerns about the exclusivity pact, a pact of the limitation of Freedom to work, stipulated by labour subjects and through which it is guaranteed that the worker delicates himself exclusively to the employer not being able to carry out other activities for their own account or for the account of others, during the working relationship. Frequently, it’s inserted in labour relations and without legal consecration in Portugal, contractual freedom has prevailed in its conformation. So, the exclusivity pact, contrary to other limiting covenants of freedom – the non-compete pact and the pact of permanence, is not provided for in the Portuguese Labour Code, this being the first challenge of this study: admissibility of the exclusivity pact and your compatibility with the Constitution of the Portuguese Republic.Our contribution essentially concerns with the delimitation of the exclusivity pact contours, in an analysis of the subjects, form, content, the interest taken by the employer to the conclusion of the pact, duration of the agreement and also the compensation due from the obligation of exclusivity. In this way, with recourse to national and foreign doctrine and jurisprudence and reference the contours for the legislator assumed by other agreements of limitation of freedom to work, in order to establish a compatible framework with the legal and constitutional norms, as well to guarantee the balance between the worker and the employer, which is the labour law aim since it was created.Analysis shall be distributable, also, the causes and effects of the extinction of the exclusivity pact, starting with general causes and following by untying worker and employer’s unilateral, for breach of the pact for each subject, with a note the lawfulness of allusive affixing of a penal clause exclusivity pact and another concerning the responsibility of the “third accomplice” in violation of the pact of exclusivity pact by the worker.
O presente estudo versa sobre o pacto de exclusividade, um pacto de limitação da liberdade de trabalho, estipulado pelos sujeitos laborais, por meio do qual se garante que o trabalhador se dedique “em exclusivo” à entidade empregadora, não podendo realizar outras atividades, por conta própria ou de outrem, no decurso da relação laboral. Frequentemente inserido nas relações de trabalho e sem consagração legal em Portugal, tem prevalecido a liberdade contratual na sua conformação.Assim, o pacto de exclusividade, contrariamente aos restantes pactos de limitação da liberdade de trabalho – o pacto de não concorrência e o pacto de permanência, não está previsto no Código do Trabalho Português, sendo este o primeiro desafio deste estudo: a admissibilidade do pacto de exclusividade e a sua compatibilidade com a Constituição da República Portuguesa.O nosso contributo prende-se, essencialmente, com a definição e delimitação dos contornos do pacto de exclusividade, numa análise relativa aos sujeitos, à forma, ao conteúdo, aos interesses assumidos pela entidade empregadora para a celebração do pacto e à duração e à compensação devida pela obrigação de exclusividade. Desta forma, com recurso à doutrina e jurisprudência nacional e estrangeira e tendo por referência os contornos assumidos pelo legislador para os outros acordos de limitação da liberdade de trabalho, procuramos fixar uma moldura compatível com os normativos legais e constitucionais e a garantir o equilíbrio entre o trabalhador e o empregador, que o direito do trabalho visa, desde a sua origem, alcançar. Passíveis de análise serão, igualmente, as causas e efeitos da extinção do pacto de exclusividade, começando pelas causas gerais e seguindo pela desvinculação unilateral do trabalhador e do empregador, pelo incumprimento do pacto por cada um dos sujeitos, com uma nota alusiva à licitude da aposição de uma cláusula penal ao pacto de exclusividade e uma outra, relativa à responsabilidade do “terceiro cúmplice” na violação do pacto de exclusividade pelo trabalhador.
