Abstract: A descida progressiva da taxa nominal do IRC e o consequente aumento do diferencial relativamente às taxas do IRS tem conduzido a uma excessiva e desenfreada constituição de sociedades, em substituição do exercício das atividades em nome individual. A transparência fiscal é um instrumento na procura da verdade e da responsabilidade, por meio do qual se retira o véu da personalidade jurídica às entidades por ele abrangidas, visualizando-se apenas a figura dos respetivos sócios ou membros. Com efeito, a lei como que vê através dessa entidade, dando-se voz aos opositores da tributação da sociedade que defendiam que deveria transferir-se a tributação para a pessoa dos seus sócios. O regime de transparência fiscal está consagrado no artigo 6º do Código do Imposto sobre as Pessoas Coletivas e foi instituído em Portugal, em 1989, mas era já aplicado há muito noutros países para as denominadas sociedades de pessoas (partnerships). É caracterizado pela desconsideração, para efeitos de tributação em imposto sobre o rendimento das pessoas coletivas, da personalidade jurídica de determinados entes coletivos, tributando-se o respetivo rendimento diretamente na pessoa dos seus sócios ou membros, independentemente de ocorrer distribuição de lucros. Com o intuito de assegurar a neutralidade fiscal, eliminar a dupla tributação económica e combater a evasão e fraude fiscais, a sua estatuição sempre gerou controvérsias, essencialmente quanto às entidades por si abrangidas – as flow-through, pass-through ou fiscally-transparent entities -, operacionalidade prática e determinação dos resultados que devem ser imputados aos seus sócios. O nosso ordenamento jurídico-tributário não tem sido objeto de profundas alterações, enaltecendo-se, porém, a última, em 2014, que ocorreu com a Reforma do CIRC e que veio a alargar o seu âmbito subjetivo. Certos que, perante as questões controvertidas que reclamam uma reflexão mais cuidada, as posições doutrinais e a jurisprudência produzida, há ainda um longo caminho a percorrer. ABSTRACT The progressive decrease in the IRC’s nominal rate and the consequent differential increase regarding the IRS rates have led to an excessive and uncontrolled foundation of societies, which replaced the practice of individual based activities. Fiscal transparency is a tool used in the pursuit of the truth and responsibility, through which the legal personality of the entities is unveiled, allowing only the inspection of the respective partners or individual members. Indeed, it is as if the law saw through that entity, granting voice to the societies’ taxation opponents that argue that the taxation should be transferred to its partners’ legal personality. The fiscal transparency regime is established in Article 6 of the Taxation Code of Income and Gains of Collective People and it was approved in Portugal in 1989, although it was applied in other countries before this to the so-called partnerships. This regime is characterized by the disregard of the legal personality of certain collective entities for purposes of collective people’s income taxation, taxing the respective income directly to the entity of its partners or members independently of there being a profit distribution. With the objective of tax neutrality insurance, double taxation elimination and fight against tax evasion and fraud, this establishment always generated controversy, mainly as to the entities covered (the so called flow-through, pass-through or fiscally-transparent entities), the practical operability and the results determination that should be allocated to its members. Our legal taxation system has not been subjected to profound changes, nevertheless the last one in 2014, brought the CIRC reform and the extension of its subjective range. Given that the controversial issues call for a more careful reflection, doctrinal positions and produced jurisprudence, certainly there is still a long way to go
