ACE e Consórcio: Uma análise comparativa no âmbito da cooperação inter-empresarial

Abstract

A presente Dissertação procura analisar o vasto universo da cooperação inter-empresarial. Para tal, e perspectivando a empresa como a “célula estaminal” do direito comercial da actualidade, propomo-nos iniciar este estudo com uma reflexão em torno da noção jurídica de empresa. De seguida, passaremos do estudo da empresa para o estudo de um dos vários tipos de relações jurídicas que entre estas se estabelecem. Falamos das relações de cooperação inter-empresarial. Dada a multiplicidade de formas e regimes segundo os quais as empresas podem comprometer-se a colaborar entre si, daremos conta, numa primeira abordagem, dos traços que caracterizam este tipo de relações empresariais na generalidade. Posteriormente, partiremos para a análise de dois contratos de cooperação em especial: o agrupamento complementar de empresas e o consórcio. Apesar de as duas figuras negociais procurarem satisfazer, à primeira vista, necessidades semelhantes, chegar-se-á à conclusão que vários são os pontos que permitem traçar a sua distinção, nomeadamente ao nível da sua estrutura, organização e funcionamento, donde derivam importantes diferenças ao nível dos respectivos regimes jurídicos. Finalmente, concluiremos apontando as vantagens de uma e de outra figura negocial enquanto estruturas adoptadas para a prossecução de alguns dos objectivos que tipicamente impulsionam o recurso a acordos de cooperação inter-empresarial, entre os quais se destacam a internacionalização, a repartição do risco e a optimização de recursos disponíveis.

This thesis aims to analyze the broad universe of inter-business cooperation. For that, and seeing the company as the “stem cell” of today’s corporate law, we will begin this study with a reflection on the legal concept of company. Then, we will move from the study of the company to the study of one of the various types of legal relationships that can be established between them. We are referring to inter-business cooperation. Given the multiplicity of ways and regimes under which companies can commit to cooperate with each other, we will, in a first approach, address the traits that characterize this type of business relationship in general (such as the relevance of the identity of each part, the relative equality that must subsist throughout the whole contractual relationship and the solid basis of trust needed for the success of the enterprise). Subsequently, we will move on to the analysis of two cooperation agreements in specific: the “agrupamento complementar de empresas” and the consortium. Despite the fact that both legal figures seek to meet, at first sight, similar needs, we will come to the conclusion that there are several traits that draw their distinction, particularly in terms of structure, organization and functioning, leading to important differences regarding their legal framework. In conclusion, we will point out the advantages of each legal figure as structures adopted for the pursuit of some of the goals that typically drive the use of inter-business cooperation agreements.
