Abstract: A presente dissertação versará sobre o fenómeno das Parcerias Público-Privadas. Inspirado no modelo britânico PFI/PPP, este modelo chega até nós na década de 90 do século XX. Este modelo permitia continuar a realizar infraestruturas e oferecer serviços públicos respeitando a disciplina financeira que a União Europeia tinha traçado para o Estado Português. Já para nem falar que se poderia beneficiar da eficiência e rigor do sector privado. Em sentido amplo podemos definir PPP como qualquer colaboração entre o sector público e privado cujo objectivo é fornecer uma actividade à colectividade. O elemento mais distintivo neste tipo de parceria e que constituem o maior factor de diferenciação em relação a tradicional de forma de contratação é o elemento risco, que de acordo com o artigo 2.º, n.º 1 do Decreto-lei n.º 111/2012 de 23 de Maio, deve correr no todo ou em parte pelo contraente privado.Contudo este modelo não foi isento de criticas, até pela forma como foi configurado inicialmente. A ausência de legislação especifica em regular estes contratos, a má preparação do sector público para a conclusão destas parcerias, levaram o Estado a introduzir modificações unilaterais nos contratos, o que se traduziu em vários processos de Reposição do Reequilíbrio Económico-Finaceiro.A segunda parte da presente dissertação debruçar-se-á sobre o modelo das SCUT. As concessões SCUT foram implementadas em Portugal em 1997 e caracterizavam-se por serem autoestradas sem custos para o utlizador, na medida que quem assumia os encargos era o Estado através de uma renda paga as concessionárias durante o período da concessão. Assim elas são quanto à sua natureza jurídica concessões, porém servem-se da arquitectura do Project finance, mas ao passo que este tenta ser auto-sustentável através dos fluxos de caixa, nas concessões SCUT é o Estado quem paga, assim temos um principio de contribuinte pagador em detrimento do utilizador pagador. No entanto esta lógica de princípios inverteu-se em 2010 com a renegociação dos contratos, a partir desta data as portagens nas auto-estradas deixaram de ser virtuais para serem reais. Esta mudança gerou inúmeras criticas, pela forme como forma implementadas. Estas e outras considerações constituíram objecto do presente estudo.
The following dissertation will verse on the phenomenon of the Public-Private Partnerships (PPP). Inspired on the British model PFI/PPP, this model comes to us in the 90’s decade of the 20th century. This model allowed to keep building infrastructures and offer public services while respecting the financial discipline that the European Union had designed for the Portuguese state. Not to mention that we could benefit from the eficiency and precision of the private sector. In a broad definition we can define the PPP as any collaboration between the public sector and the private sector whose purpose is to supply na activity to the collectivity. The most distinctive element in this kind of partnership, that constitutes the major distinguish factor regarding the traditional form of hiring, is the risk ellement,that according to the article 2.º, n.º 1 of the Law Decree n.º 111/2012,of May 23rd, should occur intirely or partially on the account of the private side.However, this model was not exempt from criticism, even by the way it was initially configured. The lack of specific legislation to regulate these contracts, the poor preparation of the public sector for the conclusion of these partnerships, led the State to introduce unilateral changes in the contracts, which resulted in several processes of Reinstating the Economic-Financial Rebalancing.The second part of this dissertation will focus on the SCUT model. The SCUT concessions were implemented in Portugal in 1997 and were characterized by being self-directed at no cost to the user, as the one who took on the burden was the State through an income paid to concessionaires during the concession period. So they are about their legal nature concessions, but they use the architecture of Project finance, but while this tries to be self-sustaining through cash flows, SCUT concessions are the state who pays, so we have a principle of Payer to the detriment of the paying user. However, this logic of principles was reversed in 2010 with the renegotiation of contracts, from this date the tolls on the motorways are no longer virtual to be real. This change generated many criticisms, by the way they were implemented. These and other considerations were the object of the present study.
