dc.description.abstractResumo A crise económico-financeira que tem afetado o nosso país, sobretudo desde 2008, tem levado a um aumento de empresas que não conseguem sobreviver no mercado, tendo de declarar insolvência. O processo de insolvência tem várias vertentes: a vertente da liquidação e a vertente da recuperação. Assim, no âmbito de um processo de insolvência e, de acordo com o regulado no CIRE, este processo pode culminar na liquidação da massa insolvente ou na aprovação de um plano de recuperação da empresa. Temos assim dois sistemas: o da falência-liquidação e o da falência-recuperação, sendo que o atual CIRE dá uma clara preferência ao sistema falência-recuperação, tendo em vista a viabilização da empresa no mercado mediante acordos celebrados entre o devedor insolvente e os credores. Embora esta solução apontada pelo legislador insolvencial de 2012, de privilegiar o sistema de falência-recuperação, esta solução traz consigo alguns problemas, nomeadamente quando os créditos submetidos ao acordo celebrado entre o devedor e os credores, são créditos garantidos por garantia autónoma (designadamente pelo aval). Os terceiros garantes que, como o próprio nome indica, são terceiros na relação jurídica, não participam nas negociações do acordo, mas sofrem os seus efeitos. Deste modo, os terceiros garantes da relação jurídica substantiva ficam numa posição muito debilitada, visto que, não têm uma palavra a dizer em relação às medidas que integram o acordo, mas simultaneamente sofrem com a aprovação de tais medidas. E, o problema, ganha especial exorbitância quando o credor que concorda com os termos do acordo, propõe ação executiva contra o avalista, exigindo-lhe o pagamento do crédito no montante e termos inicialmente acordados. dc.description.abstractAbstractThe economic and financial crisis which has affected our country, especially since 2008, has led to an increasing number of companies which cannot survive in the market place and have to declare insolvency.In the context of insolvency proceedings and, in accordance with CIRE, this process may culminate in the liquidation of the insolvent’s estate or the approval of a business recovery plan. Thus, there are two systems: bankruptcy liquidation and bankruptcy recovery, with the current CIRE clearly privileging the bankruptcy recovery system, aiming at the company’s viability in the market based on agreements between the insolvent debtor and their creditors.This solution entails some problems, particularly when the claims submitted to the agreement between the debtor and the creditors are loans guaranteed by autonomous guarantees (in particular by an endorsement).Third party guarantors, as the name implies, are third parties in the legal relationship and do not participate in the agreement’s negotiations, but endure its effects. Therefore, third party guarantors of the substantive legal relationship are in a very fragile position, as they have no say in the measures bringing the agreement into being; nevertheless, they suffer from the adoption of such procedures.Finally, the problem becomes extremely difficult when the creditor who agrees to the terms of the agreement, proposes executive action against the guarantor, demanding the payment of the credit in the amount and terms initially agreed upon.
