A Inteligência Artificial no seio da Corporate Governance. O impacto da inteligência artificial no órgão de administração das sociedades anónimas

Abstract

Os mecanismos artificialmente inteligentes apresentam uma capacidade de recolha, armazenamento e processamento de informação que em muito excede a aptidão humana. Se a esta competência juntarmos a valência da machine learning, poderemos ter um ente que se desenvolverá através do contacto que estabelece com o meio que o rodeia, manifestando uma certa autonomia na sua atuação e decisão. Tendo em conta estas características, é muita a especulação que tem recaído sobre o papel que esta tecnologia poderá desempenhar na vida humana e o meio empresarial não é exceção. Neste estudo iremos, assim, analisar aquilo que se entende por inteligência artificial e por corporate governance, de modo a lançarmos os alicerces que nos permitam raciocinar sobre a influência que a inteligência artificial terá no funcionamento e na organização societária. Nesta senda, o escopo desta dissertação passará por, tendo em conta as suas capacidades atuais e futuras, perceber quais os modos por que esta tecnologia poderá influenciar a dinâmica societária, sobretudo o funcionamento do órgão de administração (pois, se olharmos para as suas características, parece ser junto deste órgão que as potencialidades desta tecnologia serão exponenciadas).Afastando uma visão radical e excessivamente especulativa das formas através das quais a inteligência artificial colaborará com o órgão de administração, partiremos para a análise das eventuais modificações que esta provocará no funcionamento do órgão de administração, ao mesmo tempo que procuraremos aprofundar quais as implicações que o recurso à inteligência artificial poderá ter no movimento de corporate governance e os desafios que levantará ao atual sistema jurídico-societário.

Artificially intelligent mechanisms have the ability to collect, store and process information that far exceeds human capacity. If we add the valency of machine learning to this aptitude, we will be able to have an entity that will develop through the contact it establishes with the environment that surrounds it, manifesting a certain autonomy in its performance and decision-making process. In view of these characteristics, there is a lot of speculation that has fallen on the role that this technology could play in human life and the corporate environment is no exception.In this study, we will, therefore, analyze what is meant by artificial intelligence and corporate governance, in order to lay the foundations that allow us to reason about the influence that artificial intelligence will have on the functioning and on corporate organization. In this way, the scope of this dissertation will go through, taking into account its current and future capabilities, to understand the ways in which this technology can influence the corporate dynamics, especially the functioning of the board of directors (because, if we look at its features, it seems to be with this body that the potential of this technology will be exponentiated).Moving away from a radical and excessively speculative view of the ways in which artificial intelligence will collaborate with the board of directors, we will analyze the possible changes that this will cause in the functioning of the board, while we will seek to deepen the implications that recourse to artificial intelligence may have in the corporate governance movement and the challenges it will pose to the current legal-corporate system.
