dc.description.abstractA presente dissertação tem como objetivo analisar o third party funding, nomeadamente o seu enquadramento no ordenamento jurídico Português.O TPF é um modelo de negócio que permite que um terceiro, o investidor, intervenha num litígio com o objetivo de financiar uma das partes litigantes (geralmente o autor). Não é uma atividade desinteressada, pois que em caso de sucesso da ação, o funder terá direito a reaver o capital investido, bem como a participar nos resultados do processo. Esta atividade de financiamento comporta riscos consideráveis para o funder, na medida em que este perde todo capital investido caso a ação improceda. Contudo, é um risco assumido por muitos investidores, pois o risco de perderem todo o seu investimento é compensado pelas margens de lucro altíssimas a que terão direito em caso de sucesso da ação. Está em causa um modelo de negócio que gera grande controvérsia, dado que é muito recente e está em crescente evolução. Ao longo dos últimos anos, foram feitos inúmeros estudos, publicadas diversas obras e realizados muitos debates, todavia, ainda não existe nenhuma definição universal deste instituto. O financiamento de litígio em Portugal é bastante recente e pequeno quando comparado cm outras jurisdições (ex. Austrália, Alemanha, Reino Unido), por esse motivo é uma atividade desconhecida por muitos agentes económicos. Contudo, é provável que este instituto venha a crescer, uma vez que as empresas portuguesas são muito competitivas e os processos são cada vez mais complexos e dispendiosos, o que naturalmente coloca o mercado português na mira dos financiadores.Este estudo visa, desta forma, analisar as vantagens e inconvenientes que a transposição deste instituto acarreta para o nosso ordenamento, bem como desenvolver algumas questões pertinentes para uma correta compreensão desta atividade.por
dc.description.abstractThis dissertation aims to analyze the third party funding, namely its framing in the Portuguese legal system.TPF is a business model that allows a third party, the investor, to intervene in a dispute with the aim of financing one of the litigating parties (usually the author). It is not a disinterested activity, since if the action is successful, the funder will have the right to recover the invested capital, as well as to participate in the results of the process.This financing activity entails considerable risks for the funder, as he loses all invested capital in case the action is unfounded. However, it is a risk taken by many investors, as the risk of losing all their investment is offset by the very high profit margins they will be entitled to in the event of successful action.At stake is a business model that generates great controversy, given that it is very recent and is growing. Over the past few years, numerous studies have been carried out, several works have been published and many debates have been held, however, there is still no universal definition of this institute.The financing of litigation in Portugal is quite recent and small when compared to other jurisdictions (ex. Australia, Germany, United Kingdom), for this reason it is an unknown activity for many economic agents. However, it is likely that this institute will grow, since Portuguese companies are very competitive and the processes are increasingly complex and expensive, which naturally puts the Portuguese market in the sights of funders.This study aims, in this way, to analyze the advantages and disadvantages that the transposition of this institute brings to our juridical system, as well as to develop some pertinent questions for a correct understanding of this activity.eng
