Abstract: No início do séc. XXI, pudemos assistir a crises com repercussões financeiras, cuja origem vem a ser atribuída, pelo menos de forma indireta, a matéria de remunerações dos administradores executivos e aos “problemas de agência” que à sua voltam orbitam, com particular expressão no caso das sociedades cotadas.Assim, o debate relativo a esta temática tem sido crescentemente intensificado e escrutinado, sendo esta considerada uma das matérias mais relevantes no contexto das boas práticas de corporate governance.As soluções apontadas no plano europeu (e não só), têm volvido em torno da atribuição de um papel de maior relevo aos acionistas das sociedades, prevenção da assunção de riscos excessivos por parte dos administradores, procura por políticas remuneratórias que respeitem princípios de sustentabilidade e com objetivos de longo prazo e melhorias na prestação de informação aos acionistas e aos mercados.Mais recentemente, as alterações introduzidas pela Diretiva (UE) 2017/828(Diretiva dos Direitos dos Acionistas II ou DDA II) vieram solidificar e reforçar essas intenções do legislador europeu no que diz respeito às sociedades com sede social num Estado-membro, que sejam emitentes de ações admitidas à negociação num mercado regulamentado, situado ou em funcionamento num Estado-membro.Nesta dissertação, iremos analisar as querelas em torno da remuneração dos administradores executivos, e as propostas apresentadas pela nova Diretiva dos Direitos dos Acionistas das sociedades cotadas, assim como a respetiva transposição para o ordenamento jurídico português.
At the begining of the 21st century, we witnessed crises with financial repercussions, the origin of which has been attributed, at least indirectly, to the matter of executive directors’ remuneration and to the agency problems that revolve around it, with particular expression in the case of listed companies.Thus, the debate about these issues, has been increasingly intensified and scrutinised, this being considered one of the most relevant matters in the context of good corporate governance practices.The solutions pointed out by (not only) the european legislator have been focused on the attribution of a more significant role to the shareholders, the prevention of excessive risk assumptions taken by the directors, incentives on remuneration policies that respect principles of sustainability and long-term objectives, and improvements when it comes to the information provided to the shareholders and to the market.Recently, the alterations introduced by Directive (EU) 2017/828 (Shareholder Rights Directive II or SRD II) have solidified and reinforced these intentions of the European legislator when it comes to companies which have their registered office in a Member Stateand the shares of which are admitted to trading on a regulated market situated or operating within a Member State.This paper aims to analise the quarrels around the remuneration of executive directors, and the solutions presented by the SRD II to listed companies, as well as it’s transposition to the portuguese legal system.
