Abstract: A resolução contratual, enquanto figura jurídica destrutiva dos efeitos emergentes de um contrato, requer, desde logo, um fundamento. O código civil português prevê, a este propósito, dois grandes fundamentos: a alteração superveniente das circunstâncias e o incumprimento. No entanto, o artigo 436º do referido diploma, ao possibilitar que os efeitos resolutórios operem mediante declaração à contraparte, sem que, sobre tal declaração, exista um mecanismo de controlo prévio de verificação dos fundamentos invocados, coloca um problema: como reagir perante a declaração de resolução sem fundamento?. Partindo da análise de alguns ordenamentos jurídicos estrangeiros e da forma como estes encaram a questão enunciada, e bem assim, da análise de figuras próximas acolhidas no nosso ordenamento jurídico, propomo-nos, com esta dissertação, a encontrar uma solução adequada à “resolução” desta questão.A resolução contratual, enquanto figura jurídica destrutiva dos efeitos emergentes de um contrato, requer, desde logo, um fundamento. The contract termination, as a destructive instrument of the effects arising from a contract, requires from the outset to be justified. The Portuguese civil code provides for, in this respect, two main grounds: the change of circumstances and default. However, article 436 of the aforementioned code, by allowing termination effects to operate by means of a declaration to the counterparty, without there being a prior control mechanism for verification of the grounds relied upon, gives rise to a problem: How to react before the unfounded declaration of termination?. Based on the analysis of some foreign legal systems and the way in which they deal with the stated issue, as well as on the analysis of the forthcoming figures accepted in our legal framework, we herein propose to find an adequate solution to the “resolution” of said issue.The contract termination, as a destructive instrument of the effects arising from a contract, requires from the outset to be justified.
