dc.description.abstractEste trabalho de projeto tem como objetivo verificar o impacto das investigações antitrust no valor de mercado das empresas. Para tal procedeu-se à recolha de todos as decisões relativas ao artigo 101º do TFUE (levando em conta apenas os processos relativos a cartéis) e o artigo 102º do TFUE. Adotou-se como metodologia o estudo de eventos e o teste J de Kolari e Pynnönen (2010) como teste paramétrico, sendo este o teste mais robusto para a análise do CAAR. Nesta análise consideraram-se quatro eventos, início do processo (dawn raid para os cartéis e comunicação de objeções relativamente aos abusos de posição dominante), decisão da Comissão Europeia, decisão do Tribunal Geral e decisão do Tribunal de Justiça. Verificou-se que uma investigação surpresa (dawn raid), no caso do artigo 101º do TFUE, tem um impacto de -2% e a comunicação de objeções, no caso do artigo 102º do TFUE, tem um impacto de -6%. Em relação às decisões da Comissão Europeia apurou-se que existe um impacto negativo ao longo de toda a janela do evento. No entanto este impacto é suavizado pelo efeito do regime de clemência, que a empresa delatora e as restantes podem usufruir. O efeito gerado pelo regime de clemência começa a verificar-se 5 dias antes do evento. Dos recursos para os tribunais europeus o maior impacto verifica-se no Tribunal de Justiça, em que o efeito total da redução ou anulação da coima chega a 15%. Concluindo-se que, apesar do início dos processos da UE aumentarem o seu caráter penalizador sobre o valor de mercado das empresas envolvidas, o decorrer desses processos tem sido menos penalizador para as empresas mais pequenas da amostra sobretudo se não pertencerem à indústria manufatora. O mercado decididamente recompensa aquelas empresas que recorrem a todas instâncias judiciais, com um desfecho favorável.por
dc.description.abstractThis study aims to verify the impact of antitrust investigations on the market value of companies. To this end, all decisions relating to Article 101 of the Treaty (considering cartel cases only) and Article 102 TFEU were collected. The Kolari and Pynnönen J test (Kolari and Pynnönen, 2010) were used as a methodology for the parametric test, which was the most robust test for CAAR analysis. In this analysis four events were considered: the initiation of proceedings (dawn raid for cartels and the communication of objections to abuses of dominant position), European Commission decision, decision of the General Court and decision of the Court of Justice. It has been found that a dawn raid in the case of Article 101 TFEU has an impact of -2% and the notification of objections in the case of Article 102 TFEU has a -6% impact. Regarding the decisions of the European Commission it was found that there is a negative impact throughout the window of the event. However, this impact is mitigated by the effect of the leniency, which the company reports and the others can enjoy. The effect generated by the leniency begins to occur 5 days before the event. Of the appeals to the European courts, the greatest impact is to the Court of Justice, where the total effect of the reduction or annulment of the fine amounts to 15%. It is concluded that, even though the initiation of EU proceedings increases their penalizing effect on the market value of the companies involved, these processes have been less penalizing for the smaller sample firms, especially if they do not belong to the manufacturing industry. The market rewards those companies that resort to all judicial instances, with a favorable outcome.eng
